1. Introduction

These Terms and Conditions ("Terms") govern your use of the services provided by 2ATKIT ("we", "us", or "our"). These Terms constitute a legally binding agreement between you and 2ATKIT regarding your use of our services.

2. Services

We provide various digital services including but not limited to:

• Web development and design
• Digital marketing services
• Consulting and strategy services
• Technical support and maintenance

The specific details of each service will be outlined in individual service agreements or statements of work.

3. Payment Terms

Our standard payment terms require:

• A 30-50% deposit to begin work (varies by project size)
• Progress payments at agreed milestones
• Final balance due upon project completion

Alternative payment schedules may be arranged by mutual agreement. Late payments may incur interest charges of 1.5% per month.

4. Intellectual Property

All intellectual property rights in the materials we create for you will be transferred to you upon full payment, except for:

• Any pre-existing materials we own
• Proprietary frameworks or tools we develop
• Third-party assets with their own licensing terms

You grant us a limited license to display project work in our portfolio unless otherwise agreed in writing.

5. Confidentiality

Both parties agree to:

• Keep confidential any proprietary information shared during our engagement
• Not disclose such information to third parties without written consent
• Use the information only for the purposes of the project

These obligations continue for 3 years after project completion.

6. Limitation of Liability

Our liability is limited to the amount paid for the services in question. We are not liable for:

• Any indirect or consequential damages
• Loss of profits or business opportunities
• Third-party actions or services

This limitation applies to the fullest extent permitted by law.

7. Termination

Either party may terminate the agreement with 30 days written notice. Termination fees may apply depending on the project stage:

• 0-25% completed: 25% of remaining balance
• 26-50% completed: 50% of remaining balance
• 51-75% completed: 75% of remaining balance
• 76-100% completed: 100% of remaining balance

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any disputes shall be resolved in the state or federal courts located in New York County, New York.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes through our website or direct communication.

Continued use of our services 30 days after changes constitutes acceptance of the modified Terms.
